We wanted to reach out to inform you that there has been a ruling regarding the injunction pausing compliance with the Corporate Transparency at (“CTA”). The 5th Circuit Court of Appeals has stayed the injunction, re-instituting the January 1, 2025, filing deadline for all companies in existence as of December 31, 2023. There was an attempt by Congress to move that deadline as part of the most recent government funding legislation, but it was abandoned in that bill’s final form.
FinCEN has responded to this ruling by moving the deadline to January 13, 2025. This is likely in recognition that the online system for filing is going to be overwhelmed as millions of existing entities attempt to comply in the coming days. As such, our guidance is for clients to file as soon as possible to ensure compliance by the deadline.
