Extensive liabilities associated with Superfund, various environmental laws and toxic tort suits have increasingly put sellers, purchasers and lenders in a position where they must attempt to define and allocate liabilities when transferring assets and transacting loans. Similarly, securities and other financial regulations require that such liabilities be assessed and disclosed in a variety of contexts.

We can provide assistance in:

  • Conducting environmental due diligence
  • Negotiating appropriate indemnification provisions
  • Determining necessary disclosure statements
  • Assisting with and providing advice on environmental issues associated with real estate and business transactions

Whether the deal involves a single business, a facility or large mergers and acquisitions, a host of environmental issues can arise. We can assist with planning and negotiating all aspects of transactions, from inception to the post-transaction period.
